Terms of Service

These Terms of Service (“Terms”) are an agreement between you and GuerrillaSuite LLC (“GuerrillaSuite,” “we,” “us”) for the Toucan Nexus app at toucannexus.app, its games, and this information site (together, the “Service”). By using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.

1. Who may agree to these Terms

You must be an adult (at least 18, or the age of majority where you live) to agree to these Terms. Toucan Nexus is made for children to play, but a parent or legal guardian sets it up. If you let a child use the Service, you agree to these Terms on the child's behalf and are responsible for the child's use of it.

2. The Service

Toucan Nexus is a free collection of children's games that runs in a web browser and can be installed on a device. You can play without an account, or create a free family account so progress is kept across devices. We may add, change or remove games and features, or stop offering the Service, at any time. If we stop offering family accounts, we'll give account holders reasonable notice by email first.

Without an account, profiles and progress are saved only on your device (see the Privacy Policy). They can be lost if your browser's site data is cleared, the app is uninstalled, or the device is lost or reset, and we are not able to restore them.

2a. Family accounts

Only adults may create or sign in to a family account. Children are added to a household by a parent or guardian and never sign in themselves. If you create an account, you agree to:

• give a real email address you control, and keep your sign-in methods and devices secure;
• add only children you are the parent or legal guardian of, or have that parent's permission to add;
• invite only adults you trust into your household, since they can manage its children and devices; and
• tell us promptly if you think someone else has gotten into your account.

You are responsible for what happens in your household's account. You can remove a child or delete the account at any time in the Parent Zone, as described in the Privacy Policy.

3. Supervision

You decide how and when your child uses the Service, including screen time and device settings such as Guided Access or app pinning. The games are designed to be safe for young children, but you are responsible for supervising your child's use of any device.

4. Your license to use the Service

We give you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your household's personal, non-commercial use, under these Terms. You agree not to:

• copy, sell, rent, redistribute or host the Service, or any of its games, artwork, characters, music or voice recordings, outside the Service;
• use the Service for any commercial purpose;
• interfere with, overload or disrupt the Service or the systems that run it, or try to get around its security;
• use automated tools to scrape or download the Service, other than the normal offline copy the app keeps on your device; or
• use the Service in a way that breaks the law.

5. Ownership

The Service, including its games, code, artwork, characters, names, voices and the Toucan Nexus name and logo, is owned by GuerrillaSuite or its licensors and protected by copyright, trademark and other laws. These Terms don't transfer any of those rights to you. Names of other companies and products mentioned in the Service belong to their owners.

If you send us ideas or suggestions, you allow us to use them freely, without any obligation to you.

6. Support payments

The Service is free. You may choose to support its development with a voluntary payment. Support payments:

• are processed by Stripe on Stripe's pages, under Stripe's own terms;
• are a gift to a business, not a purchase: they don't buy any goods, features, content or special status, and they don't create any ongoing obligation for us;
• are not tax-deductible. GuerrillaSuite LLC is a for-profit company, not a charity or tax-exempt organization; and
• are generally non-refundable. If you made a payment by mistake, email us within 30 days and we'll refund it.

Only adults may make support payments.

7. Links to other sites

The Service may link to websites we don't control, such as device setup guides or Stripe's payment pages. We aren't responsible for their content or practices.

8. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that the Service will be uninterrupted, error-free, secure, or that saved progress will be kept. Some places don't allow these exclusions, so some of them may not apply to you.

9. Limitation of liability

To the fullest extent the law allows, GuerrillaSuite and its owners, members, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, progress, profits or goodwill, arising from or related to the Service or these Terms. Our total liability for any claim arising from or related to the Service or these Terms will not exceed the greater of the total support payments you made to us in the 12 months before the claim arose, or fifty U.S. dollars ($50). These limits apply even if we were told such damages were possible, and do not limit liability that cannot be limited under the law.

10. Indemnity

If you break these Terms or the law in using the Service, and a third party makes a claim against GuerrillaSuite because of it, you agree to cover the reasonable costs, losses and legal fees that result, to the extent the law allows.

11. Ending use

You can stop using the Service at any time: delete your family account in the Parent Zone (if you have one), then uninstall the app and clear its site data. We may suspend or end access, including closing an account, for anyone who breaks these Terms or puts children or the Service at risk. Sections 5 and 8 through 13 continue to apply after use ends.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law rules. If you have a concern, please email us first; most problems can be solved quickly that way. If we can't resolve it within 60 days, either of us may bring a claim in the state or federal courts located in Texas, and both of us consent to those courts' jurisdiction, except that either of us may bring an individual claim in small claims court where it qualifies. If you live outside the United States, nothing in these Terms takes away consumer protections that the law where you live gives you and that can't be waived by agreement.

13. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part of these Terms is found unenforceable, the rest stays in effect. If we don't enforce a part of these Terms, that doesn't waive our right to enforce it later. You may not transfer your rights under these Terms; we may transfer ours as part of a merger, sale or transfer of the business.

14. Changes to these Terms

We may update these Terms. We will post the new version here and update the effective date, and for significant changes we will make that clearly visible on this site. Continuing to use the Service after a change takes effect means you accept the updated Terms.
